These terms of service ("terms") govern your access to and use of abuvirtual.com (the "site") and the live answering, appointment-setting, and customer service offerings provided by All Booked Up ("ABU," "we," "us," or "our"), a DBA of Sx3 Solutions, LLC (together, the "services").

By accessing the site, signing a proposal or order form with us, or using the services, you agree to these terms. If you're agreeing on behalf of a business, you confirm you have the authority to bind that business, and "you" refers to that business.

If you don't agree to these terms, please don't use the site or services.

Who these terms apply to

These terms apply to:

  • Home service business owners and staff who use our services directly
  • Marketing agencies and partners who refer clients to us or resell our services on a white-label basis
  • Visitors to abuvirtual.com

Your specific services, pricing, and service levels are set out in your signed proposal, order form, or agency agreement with us (your "service agreement"). If anything in your service agreement conflicts with these terms, the service agreement controls for that specific point.

Description of services

ABU provides live call answering, appointment setting, and customer service support for home service businesses and their marketing agency partners, delivered by human agents and, where applicable, supporting automation. Services may include, depending on your plan:

  • Call Receptionist. Inbound phone call handling
  • Appointment Setting. Phone, email, web chat, and web form handling, plus outbound callbacks
  • Dedicated Assistant. A flat-rate weekly hour allocation for defined tasks

Services are delivered through your CRM or scheduling platform (e.g., GoHighLevel, ServiceTitan, Housecall Pro, Jobber, or a similar system) as configured for your account.

We may update, modify, or improve the services over time. We'll make reasonable efforts to notify you of material changes that affect how you use the services.

Accounts and client responsibilities

To use the services, you agree to:

  • Provide accurate, current information about your business, service area, pricing, booking rules, and scripts
  • Maintain accurate access credentials for any CRM, scheduling, or phone system we need to work in on your behalf, and promptly update us on changes
  • Review and approve scripts, booking criteria, and account setup before go-live
  • Respond to reasonable requests for clarification needed to deliver the services accurately
  • Comply with applicable law in how your business operates, including laws governing your industry, telemarketing, and call recording

You're responsible for the accuracy of the business information, pricing, and booking rules you provide us. We're not responsible for booking errors that result from inaccurate or outdated information you gave us.

Call recording

As described in our privacy policy, calls handled through our services may be recorded for quality assurance, training, appointment accuracy, and dispute resolution. You're responsible for ensuring that any call-recording or consent disclosures required in the states or provinces where your business operates are in place, since these requirements vary by jurisdiction (for example, some states require all parties to consent to a recorded call). We're glad to work with you on this, but the legal responsibility for your business's own compliance sits with you.

Fees and payment

  • Fees for the services are set out in your service agreement.
  • Fees are billed on the schedule stated in your service agreement (e.g., monthly) and are due on receipt unless otherwise agreed in writing.
  • Late payments may result in a pause or suspension of services until your account is brought current.
  • Except as required by law or as otherwise stated in your service agreement, fees are non-refundable once a billing period has begun.
  • We may change our pricing with notice as described in your service agreement or, absent a specific term, with at least 30 days' notice before the change takes effect for existing clients.

White-label and agency terms

If you're a marketing agency or partner reselling or white-labeling our services:

  • You are responsible for billing your own clients; we bill you directly as the contracting party.
  • You're responsible for the accuracy of any representations you make to your clients about the services, pricing, and service levels, since we aren't a party to your agreement with your client.
  • Use of ABU's name, materials, or branding beyond what's provided for white-label fulfillment requires our prior written consent.
  • Referral and affiliate compensation, where applicable, is governed by the separate referral or affiliate terms provided to you.

Acceptable use

You agree not to use the site or services to:

  • Violate any applicable law or regulation
  • Ask us to make representations to callers or customers that you know to be false or misleading
  • Interfere with or disrupt the services, our systems, or other clients' use of the services
  • Attempt to gain unauthorized access to our systems, other clients' accounts, or data not belonging to you
  • Use the services to harass, defraud, or deceive any third party

We may suspend or terminate services for a violation of this section.

Intellectual property

  • Our materials. The site, our scripts, training materials, software, branding, and other materials we provide remain our property or that of our licensors. We grant you a limited, non-exclusive, non-transferable license to use them solely to receive the services during your service term.
  • Your materials. You retain ownership of the business information, branding, scripts, and data you provide to us. You grant us a limited license to use that information solely to deliver the services to you.
  • Nothing in these terms transfers ownership of either party's pre-existing intellectual property to the other.

Confidentiality

Each party agrees to keep the other's confidential business information private and to use it only for purposes related to the services, except where disclosure is required by law. This obligation survives termination of the services.

Disclaimers

The services are provided "as is" and "as available." While we work to deliver accurate, timely call handling and appointment setting, we don't guarantee that every call will be answered, that every appointment will result in completed work, or that the services will be uninterrupted or error-free. We disclaim all warranties, express or implied, to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law:

  • Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business, arising from the services or these terms.
  • Our total liability arising out of or related to the services will not exceed the fees you paid us in the three (3) months immediately before the event giving rise to the claim.

Some jurisdictions don't allow certain limitations of liability, so some of the above may not apply to you.

Term, cancellation, and termination

  • Your service term and any minimum commitment or notice period for cancellation are set out in your service agreement.
  • Either party may terminate for the other party's material breach if the breach isn't cured within a reasonable period (or the period stated in your service agreement) after written notice.
  • We may suspend or terminate services immediately if needed to prevent harm to our systems, other clients, or third parties, or if fees remain unpaid after notice.
  • Upon termination, you remain responsible for fees accrued through the termination date.

Indemnification

You agree to indemnify and hold ABU harmless from claims, damages, and reasonable expenses (including attorneys' fees) arising from: (a) your breach of these terms or your service agreement, (b) your violation of applicable law, or (c) inaccurate information or instructions you provided to us that we relied on to deliver the services.

Governing law and disputes

These terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, unless your service agreement specifies otherwise. Any disputes arising from these terms or the services will be resolved in the state or federal courts located in Georgia, unless otherwise agreed in your service agreement.

Changes to these terms

We may update these terms from time to time. We'll post the updated version here with a new "last updated" date. Material changes affecting existing clients will be communicated with reasonable notice, and continued use of the services after changes take effect constitutes acceptance of the updated terms.
